Non-appointment of at least one woman director on the board under section 149 – ROC imposed fine on 3 companies
The Registrar of Companies (ROC), Mumbai, vide its adjudication orders dated January 8, 2025, has imposed penalties on three companies and their directors for non-compliance with Section 149(1) of the Companies Act, 2013. This provision mandates the appointment of at least one woman director on the board of certain classes of companies.
As per Section 149(1) read with Rule 3 of the Companies (Appointment and Qualification of Directors) Rules, 2014, the following classes of companies are required to appoint at least one woman director:
– Every listed company
– Every other public company having:
– Paid-up share capital of ₹100 crore or more; or
– Turnover of ₹300 crore or more
The ROC has imposed penalties on the following three companies for non-compliance:
1. Sajjan India Limited: A penalty of ₹1,57,500 was imposed on the company, and ₹1,00,000 each on its CEO and CFO.
2. Aastha Broad Casting Network Limited: A penalty of ₹1,85,000 was imposed on the company, and ₹1,00,000 on its Managing Director.
3. Metalloys Recycling Limited: A penalty of ₹1,85,000 was imposed on the company, and ₹1,00,000 each on its three Directors.
