Whether TDS is payable if the agent is transferring the amount after retaining its commission amount?

Whether TDS is payable if the agent is transferring the amount after retaining its commission amount? Such situations often arise on commission payable to airline travel agents, recharge of mobile voucher, sale of sim Card, etc. Whether TDS is required to be done under section 194H in such cases?

Section 194C of the Income Tax Act reads as under:

SECTION 194C.

(1) Any person responsible for paying any sum to any resident (hereafter in this section referred to as the contractor) for carrying out any work (including supply of labour for carrying out any work) in pursuance of a contract between the contractor and a specified person shall, at the time of credit of such sum to the account of the contractor or at the time of payment thereof in cash or by issue of a cheque or draft or by any other mode, whichever is earlier, deduct an amount equal to—

(i) one percent. where the payment is being made or credit is being given to an individual or a Hindu undivided family;

but does not include manufacturing or supplying a product according to the requirement or specification of a customer by using material purchased from a person, other than such customer or associate of such customer.

It may be noted that section 194C provides for deduction of tax at source on any income by way of commission or brokerage by the payer to payee.

In case of air ticket booking, recharge voucher, etc, the payer to the travel agent is the principal and payee acts as an agent of principal. The person who is purchasing a ticket or getting a recharge voucher is not payer as he is not paying any commission as such directly to the airline ticket or telecom company.

As a result, TDS u/s 194H on commission by the airline company to the travel agent or by telecom company to its agent is attracted as they fall under the definition of payer and paying commission to the agent.

One may refer circular No. 619 Dated 04.12.1991, Para No. 6 reads as under:

  1. A question may arise whether there would be deduction of tax at source under section 194H where commission or brokerage is retained by the consignee/agent and not remitted to the consignor/principal while remitting the sale consideration. It may be clarified that since the retention of commission by the consignee/agent amounts to constructive payment of the same to him by the consignor/principal, deduction of tax at source is required to be made from the amount of commission. Therefore, the consignor/principal will have to deposit the tax deductible on the amount of commission income to the credit of the Central Government.”

In short, even if the travel agents retain their commission from gross payment its airline company, liability to do the TDS from the commission payment would arise. The principal company shall be deemed as “payer” even if they are not paying the commission to the agent and the agent is transferring the net amount to the principal company.
